AI is rapidly advancing whether business leaders feel ready or not. It’s in employees’ hands, embedded in third-party tools, and shaping business decisions every day. Seventy-eight percent of organizations now use AI in at least one business function. In the U.S., employees who say they use AI in their role at least a few times a year has doubled in two years, from 20% to 40%.
Yet despite AI’s ubiquity, most organizations still lack important guardrails to manage AI responsibly. In fact, only 12% of companies feel very prepared for AI and AI governance risks, according to Riskonnect’s 2025 New Generation of Risk Report. Without structure and oversight, strategic innovation can quickly become uncontrolled experimentation.
Shadow AI: Innovation Without Oversight
AI use isn’t always contained within official channels. Many employees are exploring AI tools and use cases on their own – sometimes in violation of corporate policy, and sometimes simply because guardrails don’t exist. While over half (57%) of employees globally admit to hiding their AI use at work, shadow AI isn’t always a secret, but it often occurs without visibility, which creates risk for the organization.
The real danger is when AI use happens without transparency or control. Employees may inadvertently input sensitive data into public chatbots, upload confidential documents to unapproved tools, or rely on AI-generated information that’s inaccurate or misleading.
These aren’t just abstract concerns. Shadow AI can create real compliance risks, like violating data privacy laws, breaking customer data-handling commitments, or allowing proprietary information to enter public AI systems where it can’t be retrieved. It can also lead to decisions being made on inaccurate, biased, or unverifiable outputs, increasing both operational and reputational risk.
While the biggest issue with shadow AI is unmanaged risk, there’s another consequence: innovation becomes fragmented. When teams experiment in isolation, insights stay siloed, progress becomes inconsistent, and early learnings that could benefit the broader organization go to waste. The result isn’t just duplicated effort – it slows the company’s ability to scale AI responsibly and strategically.
Ultimately, the problem isn’t that employees are using AI. It’s that they’re using it without guidance. In the absence of clear policies and approved tools, organizations rely on a patchwork of individual judgment calls about where and how AI should be used. Those decisions can carry far greater risk than employees realize, and they can cause real harm to the business.

Governance: The Accelerator, Not the Brake
A common misconception is that governance slows innovation. In reality, AI governance provides the standards and accountability that make innovation sustainable, safe, and scalable.
Strong governance clarifies what’s ethical, compliant, and secure. It empowers employees to explore AI with confidence. Instead of guessing what’s allowed or worrying about repercussions, teams know what tools are approved, as well as when and how to use them. Those boundaries encourage responsible experimentation and faster iteration.
Beware, however of governance that’s too rigid. If employees face long approval processes or fear policy violations, they’ll find workarounds. The goal of AI governance isn’t to restrict use — it’s to make responsible use easy and transparent.
Thoughtful governance turns AI from a liability into a strategic asset. It ensures both routine and experimental uses align with company goals, protect data, and deliver measurable value.
Four Steps to Build a Governance Framework that Fuels Innovation
Building effective AI governance doesn’t have to be overwhelming. Focus on four foundational steps that transform oversight into opportunity:
1. Map your AI footprint across the enterprise.
You can’t govern what you can’t see. Take inventory of AI, from sanctioned tools and vendor systems to employee-driven use cases. While tracking shadow AI can be a challenge, surveys, audits, and open reporting channels can help surface hidden experimentation. AI should be managed like any other enterprise risk by integrating oversight directly into existing governance, risk, and compliance frameworks, giving departments a centralized way to manage AI safely and strategically.
2. Establish clear accountability.
Define who is responsible for approving AI tools and setting guidelines for use across legal, compliance, IT, and data science. Ensure your policies extend to partners and suppliers, and document compliance to understand your vulnerabilities. This evidence will also provide valuable insight for boards.
3. Ensure continuous oversight.
AI models drift, threats evolve, and regulations change. Regularly monitoring the underlying models to ensure that AI continues to produce safe, actionable outcomes that reduce risk and fuel innovation.
4. Invest in training.
Nearly half of CEOs say their employees are resistant or even openly hostile to AI adoption – often due to uncertainty about job impact. Provide training that explains approved tools, safe usage practices, data handling expectations, and how AI enhances (rather than replaces) their roles. Empowered employees are compliant employees.

Every day without AI oversight is another day of unmanaged risk and untapped opportunity. The organizations that will thrive in the AI era aren’t the ones locking AI down, nor the ones allowing unrestricted experimentation. They’re the ones that build clear, pragmatic guardrails that enable people to innovate confidently without exposing the business to unintended harm.
AI governance isn’t a brake on innovation. It’s the steering wheel. With the right structure, organizations can accelerate safely, scale responsibly, and unlock the full value of AI.
